Terms of Service

These Terms of Service ("Terms") govern your access to and use of Oka, operated by CompanyWorks, LLC (doing business as The Company Works), a Delaware limited liability company. By creating an account or using the service you agree to these Terms. If you do not agree, do not use Oka.

1. The service

Oka is a hosted platform that captures, consolidates, and surfaces institutional knowledge produced by AI-assisted software development sessions. The service includes the website at oka.so, the dashboard at app.oka.so, the identity service at id.oka.so, the reasoning APIs at api.oka.so and reason.oka.so, the onboarding flow at hi.oka.so, and any client SDKs, Model Context Protocol (MCP) tools, and command-line utilities we publish.

Oka is generally available and shipped on a continuous-delivery basis. Features may change, be added, or removed over time.

2. Eligibility & accounts

• You must be at least 16 years old to use Oka.
• You must provide accurate account information and keep it current.
• You are responsible for everything that happens under your account, including the actions of agents and tools you authorise to act on your behalf.
• Keep credentials, API keys, and refresh tokens confidential. Notify us at security@oka.so if you suspect unauthorised access.

3. Acceptable use

You agree not to:

• use Oka in violation of applicable law, including data-protection, export-control, or intellectual-property law;
• upload, store, or transmit content that is unlawful, defamatory, infringing, or that you do not have the right to share;
• attempt to interfere with the integrity, security, or performance of the service, including by scraping, denial-of-service, or reverse engineering for the purpose of building a competing product;
• use the service to train a generative model that competes with Oka, or to bulk-extract data for such training;
• use the service to generate, store, or distribute content depicting child sexual abuse, real-world violence, malware, or material that facilitates serious harm.

We may suspend or terminate access at any time for material breach of these rules.

4. Your content

You retain all rights in the reasoning events, observations, learnings, and other content you submit to Oka ("Customer Content"). You grant us a limited, worldwide, royalty-free licence to host, process, transmit, and display Customer Content as necessary to operate and improve the service for you, including by sending relevant excerpts to language-model providers for the consolidation pipeline. We do not claim ownership of Customer Content and we do not use it for purposes other than operating the service.

You are solely responsible for what you submit. Make sure you have the rights to the content you upload and that doing so does not violate the rights of any third party.

5. AI outputs

Oka surfaces summaries, suggestions, and rankings produced by machine-learning models. These outputs are probabilistic and may be incomplete, inaccurate, or biased. They do not constitute legal, medical, financial, or other professional advice.

You are responsible for reviewing AI outputs before relying on them in production code, business decisions, or anything else with real consequences. We make no warranty that AI outputs will meet your requirements or any particular standard of accuracy.

6. Service-level expectations

The service is provided on an "as-is" and "as-available" basis. We aim for high availability but do not commit to a specific uptime SLA except where expressly stated in a paid plan or Enterprise agreement.

7. Fees, billing, and changes

• Some plans are free. Paid plans are billed as described at sign-up or in your order form.
• Prices are exclusive of applicable sales, use, value-added, or similar taxes unless stated otherwise. You are responsible for any tax that applies to your purchase.
• We may change pricing for paid plans with at least 30 days' notice. Changes will not apply to the current billing period.
• Subscriptions auto-renew unless cancelled before the end of the current period. You can cancel at any time from your account.

8. Third-party services

Oka relies on third-party services, including the sub-processors listed in our Privacy Policy. Your use of those third-party services through Oka is subject to their own terms. We are not responsible for the acts or omissions of third parties.

9. Privacy & security

Our handling of personal data is governed by the Privacy Policy. We use industry-standard practices to protect your data, TLS in transit, encryption at rest where supported by our providers, row-level tenant isolation, scoped access tokens, and regular reviews of permissions. Report vulnerabilities to security@oka.so.

10. Intellectual property

The service, including all software, designs, trademarks, and documentation we provide, is owned by CompanyWorks, LLC or its licensors and is protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works of the service except as expressly permitted by these Terms or applicable open-source licences.

11. Disclaimers

To the maximum extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, nor that AI outputs will be accurate, complete, or fit for any particular purpose.

12. Limitation of liability

To the maximum extent permitted by law, in no event will CompanyWorks, LLC be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to the service. Our total aggregate liability for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Nothing in these Terms limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless CompanyWorks, LLC and its personnel from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use of the service in violation of these Terms, applicable law, or the rights of a third party.

14. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if continued provision of the service to you would create a security or legal risk. Sections that by their nature should survive termination, including intellectual-property, disclaimers, limitation of liability, and governing law, will continue to apply after termination.

15. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will give at least 30 days' notice via email or an in-product notice before it takes effect. Continued use of the service after the change takes effect constitutes acceptance of the new Terms.

16. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. Any dispute arising from or related to these Terms or the service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, except that nothing in this clause prevents either party from seeking injunctive relief in any court of competent jurisdiction. If you are a consumer, this clause does not affect any non-waivable statutory rights to bring proceedings in your country of residence.
